1. Scope
This policy applies to onsite, live virtual, hybrid, workshop, and customized learning services supplied by Train Develop Empower Co. LTD (“TDE”, “we”, “us”, or “our”). It primarily governs organization-sponsored and business-to-business bookings.
2. Booking Confirmation
A training date is reserved only after we issue written confirmation or accept the client’s signed proposal, purchase order, or other written authorization. A provisional date may be released if confirmation or any required deposit is not received by the stated deadline.
3. Cancellation by the Client
Cancellation fees reflect facilitator scheduling, customization work, administration, and opportunities declined after a date is reserved.

Where substantial customization work has already been completed, the accepted proposal may identify a separate non-refundable design or development fee.
4. Rescheduling by the Client
A client may request one change of date without a rescheduling fee when written notice is received at least 15 calendar days before delivery, subject to facilitator availability. The replacement program should normally take place within six months of the original date.
Requests received fewer than 15 days before delivery may be treated as a cancellation. Any non-recoverable travel, venue, accommodation, licensing, shipping, or supplier costs remain payable.
5. Participant Substitutions
Participant substitutions are normally accepted without charge before the program begins, provided the replacement participant is suitable for the program level and any necessary details are supplied promptly. Participant numbers exceeding the agreed group size require prior written approval and may affect fees.
6. Cancellation or Rescheduling by TDE
We may replace a facilitator with another suitably qualified professional or reschedule a program where reasonably necessary. If we cancel and cannot agree a suitable alternative, the client may choose a credit or refund of training fees paid for the cancelled service.
Except where required by applicable law, our responsibility does not extend to the client’s indirect losses or independently arranged travel, accommodation, venue, or employee costs.
7. Events Beyond Reasonable Control
Neither party is responsible for delay or failure caused by events reasonably beyond its control, including severe weather, natural disaster, epidemic, government restriction, civil disturbance, transportation disruption, utility failure, or widespread technology outage. The parties will work in good faith to reschedule, change delivery format, or agree another practical solution. Costs already incurred remain subject to the accepted proposal and applicable law.
8. Refunds and Credits
Approved refunds are normally processed within 30 calendar days using the original payment method where practical. Bank charges, currency conversion differences, and non-refundable third-party expenses may be deducted where permitted. Credits are valid for the period stated in writing and are not transferable without our approval.
9. How to Give Notice
Cancellation or rescheduling requests must be sent in writing to [email protected]. Notice takes effect when received by us. We recommend including the organization name, program title, scheduled date, and booking contact.
